WHEREBY IT IS AGREED as follows:-

1. Position and Potential Collaboration

   The Company hereby is in discussion with the potential Collaborator for a future project. The potential Collaborator which refers to as the 2nd Party agrees to serve in such capacity upon the terms and conditions hereinafter appearing.

2. Performance of Duties

   The potential collaborator agrees that during the potential collaboration Period he/she shall devote his/her commitment to the Company and shall perform his/her duties faithfully and efficiently subject to the direction of the Director, company representative and Manager of the Company. He/she will commit to the deadlines that are agreed upon. If due to unforeseen circumstances & unable to complete within the deadline, it should be notified to the person in charge as soon as possible.

3. Confidentiality

   The potential Collaborator acknowledges that during the term of this Agreement that the potential Collaborator will become aware of the following information which the Company deem to be confidential and/or trade secrets of the Company (hereinafter referred to as “confidential information”) inclusive of, inter alia:

   1. Pre-Qualification Sales Script;

   2. Sales Consultation Process;

   3. Pricing Structure;

   4. Trainer's Hierarchy;

   5. Leader's Roadmaps;

   6. Marketing strategy;

   7. Testimonials Scoring;

   8. Organisation Chart;

   9. Kickstarter Series (Live More Kickstarter, Sleep Well Kickstarter, Move Well Kickstarter, Eat Well Kickstarter);

   10. Tracking System, Scoreboards & Sheet;

   11. Business Blueprint;

   12. Client Policy & Agreements;

   13. Move Lifestyle App;

   14. Education House Materials;

   15. Management House Playboards;

   16. Client Database;

   17. Move documentations (Including Passwords);

   18. CRM Sytem;

   19. Covestment Scheme;

   20. Payslip;

   21. Move authorized product sales strategies;

and any such other information and/or trade secrets of the Company which is declared from time to time.

a. All of such confidential information, whether now known or subsequently discovered by the potential Collaborator through the Company, shall be the confidential information of the Company and shall remain exclusively the property of the Company.

b. The potential Collaborator shall not at any time during the continuance of this Agreement or at any time after the Agreement has been terminated, without the prior consent in writing of the Company, disclose to any person/party any confidential information pertaining to the Company, failing which, the potential Collaborator shall be liable to pay the compensation in the sum of RM200,000.00 to the Company being the agreed liquidated damages.

c. The potential Collaborator shall immediately return to the Company all materials containing confidential information as described in clause (a) above upon termination/discontinuation of this Agreement.
